Risk Management Committee (‘RMC’) Committee Composition This Committee comprises of the following Directors viz. Ms. Shikha Sharma (Chairperson of the Committee), Dr. Anish Shah, Mr. Rajesh Jejurikar, Mr. Ranjan Pant, Ms. Samina Hamied and Mr. M.P. Vijay Kumar. Further, the Meetings of the Committee are also attended by Chief Risk Officer, Group Chief Financial Officer and Group Chief Internal Auditor. The Company Secretary is the Secretary to the Committee. During the year under review, the Board at its Meeting held on 6th October 2025, re-constituted the Committee owing to the unfortunate and untimely demise of Mr. T. N. Manoharan, the erstwhile Chairman of the Committee, on 30th July 2025 and appointed Ms. Shikha Sharma as the Chairperson of the Committee and inducted Ms. Samina Hamied as a Member of the Committee with effect from 7th October 2025. Further, the Board at its Meeting held on 11th February 2026 inducted Mr. M. P. Vijay Kumar as a Member of the Committee with effect from 11th February 2026. Key Terms of Reference The terms of the reference of RMC are wide and are in line with the regulatory requirements of the SEBI LODR Regulations and inter-alia, includes: 1. Formulation of a detailed Risk Management Policy, which shall include: a. Framework for identification of internal and external risks specifically faced by the Company, in particular including financial, operational, sectoral, sustainability (particularly, ESG related risks), information, cyber security risks or any other risk as may be determined by RMC; b. Measures for risk mitigation including systems and processes for internal control of identified risks; and c. Business continuity plan. 2. Ensuring that appropriate methodology, processes and systems are in place to monitor and evaluate risks associated with the business of the Company.
