Board Procedure The Board of your Company meets periodically and at least once every quarter to evaluate and review the Company’s financial and operational performance and provide strategic guidance along with addressing other regulatory and governance matters. The Board and Committee Meetings are pre-scheduled and a tentative annual calendar of the Board and Committee meetings is circulated to the Directors well in advance to facilitate effective planning and meaningful participation. In case of special and urgent business, if the need arises, the Board’s or Committee’s approval is obtained by passing resolution(s) through circulation or by calling the Board / Committee meetings at a shorter notice, in accordance with the applicable law. The notice for Board and Committee meetings is circulated to all Directors well in advance. To facilitate informed and effective decision‑making, the agenda papers along with all relevant supporting materials such as detailed notes and presentations, wherever applicable, are provided to the Directors in advance of the meetings. To support seamless access and efficient decision‑making, a digital version of the agenda and accompanying presentations is uploaded on the Board Portal, which serves as a central repository for all meeting documents. Additionally, video conferencing facilities are made available to enable Directors who are unable to attend in person to participate in the proceedings of the meetings. To enable the Board to discharge its responsibilities effectively and take well‑considered decisions, the Group CEO and Managing Director comprehensively updates the Board at each quarterly meeting on the overall performance of your Company. This is followed by detailed presentation(s) from the Executive Director & CEO (Auto and Farm Sector), Sector Presidents and the Group Chief Financial Officer allowing the Board to directly engage with and seek necessary clarifications, if any, from the core management team during the course of the meetings.
