Presentations made to investors, along with other disclosures required to be disseminated, are filed electronically with the Stock Exchanges and are also uploaded on your Company’s website (www.mahindra.com). As per the Company’s Archival Policy, such disclosures are hosted on the website for a minimum period of five years from the date of the respective disclosures. In addition, the Company uploads transcripts and audio-visual recordings of earnings/quarterly calls on its website. GENERAL SHAREHOLDER INFORMATION 1. 80th Annual General Meeting In accordance with General Circular No. 20/2020 issued by Ministry of Corporate Affairs (‘MCA’) dated 5th May 2020 read together with General Circular Nos. 14 & 17/2020 dated 8th April 2020 and 13th April 2020, respectively and subsequent circulars issued by MCA in this regard and latest being General Circular No. 03/2025 dated 22nd September 2025, the 80th Annual General Meeting (‘80th AGM’) of the Company will be held on Thursday, 30th July 2026 at 3.00 p.m. Indian Standard Time through Video Conferencing (‘VC’) or Other Audio Visual Means (‘OAVM’). 2. Financial Year of the Company The Company follows the financial year as prescribed under the Act, i.e. a period of 12 months starting from 1st day of April of a year and ending on the 31st day of March of the following year. 3. Date of Book Closure, Record Date and Dividend Payment Date The Record Date for Dividend shall be Friday, 3rd July 2026. The Register of Members and Share Transfer Books of the Company will remain closed for payment of Dividend and AGM from Saturday, 4th July 2026 to Thursday, 30th July 2026, both days inclusive. Subject to approval by the Shareholders at the 80th AGM, the Board has recommended a dividend of Rs. 33 (660%) per Ordinary (Equity) Shares of the face value of Rs. 5 each for the financial year ended 31st March 2026, to be paid out after 30th July 2026. Any applicable income tax will be deducted at the source before the dividend is paid out. 4. Listing of Ordinary (Equity) Shares, Debentures on Stock Exchanges Your Company’s Ordinary (Equity) Shares are listed on BSE Limited (‘BSE’) and National Stock Exchange of India Limited (‘NSE’). The Global Depository Receipts (‘GDRs’) of your Company are listed on the Luxembourg Stock Exchange and are also admitted for trading on International Order Book (IOB) of the London Stock Exchange.
